USER GENERATED CONTENT TERMS of USE

US Foods, Inc. dba CHEF’STORE (“CHEF’STORE”) reaches out to social media users to seek their permission to feature our favorite User Content on our various sites, social channels, and various promotional materials of any form whether now existing or hereafter developed. “User Content” refers to your comments, posts, pictures, images, videos, materials, or other user-generated content or information you posted on the internet and/or social media which prompted our reply to you. You are reading this because CHEF’STORE has requested your permission to use your User Content in this way (“purpose”).

By responding #YesCHEFSTORE, you hereby confirm that you are solely responsible for your User Content, i.e., you own all rights to the content that sits within said post and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such User Content; you certify that you are at least 18 years of age; and any other person in the User Content other than yourself is at least 18 years of age and they know you are giving us permission to use the User Content and have consented to it being used by CHEF’STORE under this license.

If you choose to allow us to use your User Content by replying with the hashtag #YesCHEFSTORE, you additionally agree to these Terms of Use and grant CHEF’STORE and its subsidiaries and affiliates the right to:

• Use your User Content for the ‘purpose’ only;
• Store your post and social media username for the ‘purpose’ only;
• Edit your post or publish edited or partial versions of your post, provided that CHEF’STORE shall not edit the post in such a way as to create a misleading impression of your views;
• Display your social media username alongside the post for the purpose only;
• Use your real name, caption, location information or other identifying information, if you posted that information with your User Content;
• A non-exclusive, worldwide, transferable, royalty-free, fully-paid, irrevocable, perpetual right and license without compensation to use your User Content as set out in these terms and conditions.

If you have any questions on how CHEF’TORE intends to use your User Content or if you subsequently request that Chef’Store removes your post from our marketing and promotional materials, please get in touch with [insert email] and we will use reasonable efforts to remove your post as soon as possible.

By responding #No your User Content will not be used at all by CHEF’STORE and CHEF’STORE will not contact you again about that same content.

You hereby release, discharge and agree to hold CHEF’STORE, and any person acting on their behalf, harmless from any liability related in any way to CHEF’STORE’s use of the User Content including but not limited to, claims for defamation, copyright infringement, or infringement of publicity, privacy or “moral rights” or other rights with respect to attribution of authorship

CHEF’STORE reserves the right to alter these Terms of Use without advance notice by posting a revised Terms of Use. Accordingly, you should review the Terms of Use each time you grant permission or authorization to feature your User Content.

INTELLECTUAL PROPERTY RIGHTS

You acknowledge and agree that you do not acquire any ownership or other rights in proprietary information and materials of CHEF’STORE by authorizing use of your User Content

MISCELLANEOUS

These Terms of Use are personal to you and may not be assigned or transferred by you for any reason whatsoever without CHEF’STORE’s prior written consent; and any action or conduct in violation of the foregoing shall be void and without effect.

You agree that if CHEF’STORE does not exercise or enforce any legal right or remedy which is contained in these Terms of Use (or which CHEF’STORE has the benefit of under any applicable law), this will not be taken to be a formal waiver of CHEF’STORE’s rights and that those rights or remedies will still be available to CHEF’STORE’s.

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Use are invalid, then that provision will be removed without affecting the rest of the Terms of Use. The remaining provisions of these Terms of Use will continue to be valid and enforceable.
